1. General Provisions
These Terms and Conditions (hereinafter referred to as „T&Cs") govern the contractual relationship between the company E-Križovatka s. r. o., Company ID: 57538093, VAT ID: 2122814232, with registered office at Sládkovičova 1560/16, 986 01 Fiľakovo („Provider") and clients. („Client").
The subject of the contract is the provision of marketing services in the field of online advertising (Google Ads, Meta Ads), SEO, email marketing, analytics and related services.
2. Contract Conclusion
The contract between the Provider and Client is concluded by written confirmation of the price quote or electronically via email from address info@adlify.eu. These Terms and Conditions form part of the contract.
3. Price and Payment Terms
- The price for services is agreed individually and stated in the price quote or contract.
- Media costs (Google Ads, Meta Ads, etc.) are paid by the Client directly to the platform.
- The first invoice is payable in advance before the commencement of service provision. Subsequent invoices are issued monthly with payment terms according to individual agreement.
- In case of payment delay, the Provider has the right to suspend service provision until payment is made.
- The price does not include costs for third-party licenses (email platforms, hosting, etc.), unless otherwise agreed.
4. Rights and obligations of the Provider
- Provide services with professional care in accordance with the agreed scope.
- Report campaign results regularly (monthly or according to agreed frequency).
- Protect confidential information of the Client (we sign NDA upon request).
- Guarantee response times according to the selected service package.
5. Rights and obligations of the Client
- Provide all necessary materials for campaign implementation on time (access credentials, creatives, briefs).
- Pay invoices within the due date.
- Approve materials within the agreed timeframe; in case of delay, the schedule will be extended accordingly.
- Guarantee the accuracy of provided data and content.
6. Warranties and Liability
The Provider does not guarantee specific performance metrics (e.g., number of orders, ROAS, CPC), as these results depend on many factors beyond its control (seasonality, market conditions, product pricing, website quality).
However, the Provider guarantees:
- Professional campaign setup and measurement implementation.
- Regular reporting and communication.
- Implementation of best practices in performance marketing.
In case of dissatisfaction with the services, the Client has the right to request remedial action within 14 days. If remedial action is not achieved, the contract may be terminated without notice period at the end of the current billing period.
7. Contract Duration and Termination
- The contract is concluded for an indefinite period or for a period defined in the price quote (e.g., 6 or 12 months at a discounted price).
- In case of a contract for an indefinite period, each party has the right to terminate the contract at any time without stating reasons - the termination is effective at the end of the current billing period (month).
- In case of a contract for a fixed period (6 or 12 months), the discounted price is tied to the conclusion of the entire period. In case of early termination by the Client, the Client is obligated to pay the difference between the paid discounted price and the standard monthly price for the period of service usage.
- In case of serious breach (payment delay of more than 30 days, breach of NDA, etc.), immediate withdrawal is possible.
- After contract termination, the Provider shall hand over access to the Client's accounts and relevant data within 7 business days.
8. Intellectual Property
After payment of all invoices, rights to created creatives, copy and campaign data transfer to the Client. The Provider has the right to use achieved results (anonymized or with consent) as a case study.
9. Confidentiality
Both parties undertake to maintain confidentiality regarding confidential information obtained during cooperation. Confidentiality continues even after contract termination. Upon request, we sign a separate non-disclosure agreement (NDA).
10. Complaints
Complaints regarding service quality must be submitted in writing to info@adlify.eu within 14 days of discovering the deficiency. The Provider responds to complaints within 7 business days.
11. Final Provisions
- Relationships not governed by these Terms and Conditions are governed by the Commercial Code (513/1991 Coll.) and the Civil Code of the Slovak Republic.
- Disputes are primarily resolved out of court; if this is not possible, the courts of the Slovak Republic have jurisdiction.
- The Provider reserves the right to modify these Terms and Conditions. Changes will be communicated to the Client at least 30 days in advance.
